1. Definitions

In these Terms and Conditions:

  • "Service" refers to the consulting services provided by Gravik, including Business Health Diagnostic, Stakeholder Engagement Strategy, and Corporate Strategy Retreat Facilitation.
  • "User" or "Client" refers to any individual or organization accessing our website or engaging our services.
  • "We," "Us," "Our" refers to Gravik, a business consulting firm registered in Hong Kong.
  • "Agreement" refers to these Terms and Conditions along with any service-specific engagement letter.
  • "Website" refers to graviol.pro and all associated pages.

2. Acceptance of Terms

By accessing our website or engaging our consulting services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.

These terms form a legally binding agreement between you and Gravik. Your continued use of our services constitutes ongoing acceptance of these terms as they may be updated from time to time.

3. Eligibility and Capacity

To engage our services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Be authorized to represent the organization engaging our services
  • Provide accurate and complete information during engagement

Organizations engaging our services warrant that individuals acting on their behalf have appropriate authority to do so.

4. Service Description

Gravik provides business consulting services in Hong Kong, specifically:

Business Health Diagnostic

A three to four week assessment providing systematic evaluation of organizational performance across operational, financial, and strategic dimensions. Deliverables include diagnostic report card, performance heat map, and suggested action sequence.

Stakeholder Engagement Strategy

A six-week advisory engagement developing stakeholder relationship frameworks, communication strategies, and engagement playbooks tailored to client sector and circumstances.

Corporate Strategy Retreat Facilitation

Two to three day facilitation of leadership strategy sessions, including pre-retreat preparation, structured dialogue facilitation, and post-retreat action plan synthesis.

Service availability, scope, and specific deliverables are subject to capacity and mutual agreement as documented in engagement letters.

5. Engagement Process

Initial Consultation

Engagement begins with exploratory discussions to determine service fit and scope. These initial conversations do not create binding obligations until a formal engagement letter is executed.

Engagement Letter

Formal engagements require written agreement specifying:

  • Service scope and deliverables
  • Engagement timeline and key milestones
  • Fees and payment terms
  • Client responsibilities and access requirements
  • Confidentiality provisions
  • Termination conditions

Client Responsibilities

Clients engaging our services agree to:

  • Provide timely access to required information and personnel
  • Respond to information requests within agreed timeframes
  • Designate appropriate points of contact
  • Maintain confidentiality of engagement materials
  • Provide honest and complete information

6. Fees and Payment

Service Fees

Current standard fees are:

  • Business Health Diagnostic: HKD 3,600
  • Stakeholder Engagement Strategy: HKD 9,200
  • Corporate Strategy Retreat Facilitation: HKD 19,500

Fees are stated in Hong Kong Dollars and cover services as described in engagement letters. Additional expenses, if any, will be agreed upon in advance.

Payment Terms

Payment terms are specified in engagement letters and typically include:

  • Initial deposit upon engagement letter execution
  • Progress payments at defined milestones
  • Final payment upon deliverable submission
  • Net 14 days payment terms unless otherwise agreed

Late Payment

Late payments may be subject to interest charges at 1.5% per month (18% annually) or the maximum rate permitted by Hong Kong law, whichever is lower. Persistent late payment may result in engagement suspension.

Refund Policy

Fees for completed work are non-refundable. If engagement is terminated before completion, fees will be calculated on a pro-rata basis for work performed. Deposits may be partially or fully retained depending on work already undertaken.

7. Intellectual Property

Our Intellectual Property

Gravik retains all intellectual property rights in our methodologies, frameworks, templates, and general consulting approaches. Clients receive a limited, non-exclusive license to use engagement deliverables for their internal business purposes.

Client Information

Clients retain all rights to their proprietary information and data provided during engagements. We do not claim ownership of client-specific content, though we may retain copies for professional liability and record-keeping purposes.

Restrictions

Clients may not:

  • Resell or commercialize our methodologies or deliverables
  • Share deliverables with third parties without our consent
  • Reverse-engineer our frameworks or approaches
  • Use our materials to provide consulting services to others

8. Confidentiality

Both parties agree to maintain confidentiality of information shared during engagements:

Our Obligations

We will:

  • Maintain strict confidentiality of all client information
  • Use client information only for engagement purposes
  • Implement appropriate security measures
  • Not disclose client identity without permission (except as required by law)

Exceptions

Confidentiality obligations do not apply to information that:

  • Is publicly available through no fault of the receiving party
  • Was known to the receiving party before disclosure
  • Is independently developed without use of confidential information
  • Must be disclosed pursuant to legal or regulatory requirements

9. Disclaimers

Professional Services

Our consulting services are provided based on information available at the time of engagement. We provide analysis and recommendations to the best of our professional ability, but cannot guarantee specific outcomes or results.

No Warranties

Services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that:

  • Recommendations will achieve specific results
  • Information provided is error-free or complete
  • Services will be uninterrupted or timely

Not Professional Advice for Third Parties

Our services and deliverables are prepared solely for the engaging client and should not be relied upon by third parties. We accept no duty of care to third parties and disclaim all liability to non-clients.

10. Limitation of Liability

To the maximum extent permitted by Hong Kong law:

Cap on Damages

Our total liability for any claims arising from services shall not exceed the fees paid for the specific engagement giving rise to the claim.

Excluded Damages

We shall not be liable for:

  • Indirect, consequential, or incidental damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Costs of substitute services

Force Majeure

We are not liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.

11. Indemnification

Clients agree to indemnify and hold harmless Gravik and its personnel from claims, damages, or expenses arising from:

  • Breach of these terms or engagement agreements
  • Violation of applicable laws or regulations
  • Infringement of third-party rights
  • Provision of inaccurate or misleading information
  • Third-party claims based on use of our deliverables

12. Termination

Termination by Either Party

Either party may terminate an engagement with written notice. Termination does not relieve client of payment obligations for work performed to date of termination.

Termination for Cause

Either party may terminate immediately if the other party:

  • Materially breaches these terms and fails to cure within 14 days
  • Becomes insolvent or subject to bankruptcy proceedings
  • Engages in fraud or material misrepresentation

Effect of Termination

Upon termination:

  • Client pays for all work performed to date
  • We provide work-in-progress deliverables in current state
  • Confidentiality obligations continue
  • Intellectual property provisions remain in effect

13. Dispute Resolution

Governing Law

These terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles.

Jurisdiction

Parties submit to the exclusive jurisdiction of the courts of Hong Kong for resolution of disputes arising from these terms or services.

Informal Resolution

Before initiating formal proceedings, parties agree to attempt good-faith resolution through direct negotiation. If unresolved within 30 days, either party may pursue formal dispute resolution.

Mediation

Parties may agree to mediation through the Hong Kong International Arbitration Centre before litigation, though this is not mandatory.

14. General Provisions

Entire Agreement

These Terms and Conditions, together with any engagement letters, constitute the entire agreement between parties and supersede all prior discussions or agreements.

Severability

If any provision is found unenforceable, remaining provisions continue in full force and effect.

Waiver

Failure to enforce any provision does not constitute waiver of that provision or any other right.

Assignment

Clients may not assign rights or obligations under these terms without our written consent. We may assign to affiliates or successors with notice.

Survival

Provisions regarding confidentiality, intellectual property, limitation of liability, indemnification, and dispute resolution survive termination of engagements.

15. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes become effective upon posting to our website with an updated "Last Updated" date.

Continued use of our website or services after changes constitutes acceptance of modified terms. For active engagements, material changes require mutual agreement.

We recommend reviewing these terms periodically to stay informed of any updates.
